1. Introduction
(a) These Terms of Service (“Terms”) govern your access to and use of the website, products, software, and services (“Services”) provided by Filing Fusion LLC and its affiliates (collectively, the “Company,” “we,” “us,” or “our”).
(b) By using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree with any part of these Terms, please refrain from using our Services.
(c) Filing Fusion LLC provides Wyoming registered agent and business filing services. Our responsibilities are defined by Wyoming state statutes—specifically, Section 17-28-101 of the Wyoming Code—which require us to maintain a physical registered office and to receive service of process (and other official state documents) on your behalf. (d) These Terms, together with our Privacy Policy, constitute the entire agreement between you and Filing Fusion LLC and supersede all prior or contemporaneous agreements. No third-party beneficiary rights are created.
(e) We reserve the right to modify these Terms at any time, with the most current version posted on our website. Your continued use of our Services constitutes acceptance of the updated Terms.
2. Acceptable Use of Our Website and Services
When using our website and Services, you agree not to:
- Use automated tools (e.g., robots, spiders, crawlers, scrapers) to access or extract data from our systems.
- Bypass or disable any technical restrictions or robot exclusion protocols on our website.
- Interfere with or disrupt the proper functioning of our Services or prevent others from accessing them.
- Copy, reproduce, modify, distribute, or create derivative works from our content without our prior written consent.
- Access or attempt to access accounts or information beyond your authorized access.
- Use our Services in any manner that violates applicable laws, regulations, or the rights of any third party.
- Transfer any rights granted under these Terms without our prior written consent.
If we reasonably suspect your account is used for unauthorized or illegal purposes, you authorize us to disclose relevant information to law enforcement authorities.
3. Use of Our Address
Your use of Filing Fusion LLC’s physical address is strictly limited to the Services you purchase. For example, if you subscribe solely to our registered agent service, our address may only be used to receive service of process and official legal notices. For other Services, specific guidelines regarding address usage will be provided in subsequent communications and are incorporated herein by reference.
4. Filing and Registered Agent Services
(a) Legal Document Handling
- Authorization: As your registered agent, Filing Fusion LLC is authorized to receive legal documents, including service of process and other official communications (“Legal Documents”) on your behalf.
- Document Limit: We accept up to 15 Legal Documents per year at no additional charge. Documents received beyond this limit may incur extra fees, subject to change at our sole discretion.
- Processing: We will scan, upload, and make these Legal Documents available through your online account. Please note that our registered agent services are limited to handling Legal Documents and do not include general mail.
(b) Regular Documents and Package Handling
- Regular Documents: Documents not classified as Legal Documents (e.g., general correspondence) are considered “Regular Documents.” Limits and any applicable fees for handling such documents will be communicated based on your purchased Service level.
- Packages: While we may accept packages on your behalf, Filing Fusion LLC acts solely as a receiving agent. We are not responsible for storage, handling, or shipping. Packages will be held for 14 days; thereafter, they will be returned to the sender or disposed of if return is not possible.
(c) Third-Party Service Providers
We may engage third-party providers to assist in delivering our Services. By using our Services, you consent to such involvement.
(d) Information Accuracy
You are solely responsible for providing accurate and current information. Failure to update your information is a material breach of these Terms and may result in termination of Services.
(e) Document Retention and Destruction
Original copies of documents received are not retained indefinitely. Unclaimed documents or mailings will be destroyed 30 days after digital scanning, unless otherwise agreed in writing.
(f) Electronic Records and Signatures
You consent to the use of electronic records and signatures for filing documents on your behalf.
5. Document Storage and Intellectual Property License
(a) Document Storage
- Optional Service: If you opt to use our online document storage feature, you must create an account and comply with these Terms and our Privacy Policy.
- User Responsibility: You agree not to upload or store any content for which you do not have the necessary rights or that is illegal, dangerous, or otherwise prohibited.
- Content Review: We reserve the right to review and remove content that violates these Terms.
(b) Intellectual Property License
By uploading content to our system, you grant Filing Fusion LLC a worldwide, non-exclusive, royalty-free license to host, reproduce, distribute, and display your content solely for providing and improving our Services. This license remains effective until you remove the content, subject to any lawful retention requirements.
6. Termination of Services
(a) General Termination
- By You: You may terminate your use of our Services at any time by notifying us through your online account. Termination does not relieve you of any outstanding obligations.
- By Us: We may suspend or terminate your Services for reasons including, but not limited to, providing inaccurate information, non-payment, or suspected illegal activity.
(b) Registered Agent Services Termination
- Upon termination of your registered agent services, Filing Fusion LLC will cease acting as your registered agent. You must appoint a new registered agent to continue receiving Legal Documents.
- If Legal Documents are received after termination, we will notify you via the last provided email address. To access these documents, you may need to renew your services or pay per-document fees.
- No prorated refunds will be provided for canceled registered agent services.
(c) Termination of Other Services
For other Services, cancellation can be requested through your client portal. Outstanding balances remain payable.
7. Corporate Transparency and Beneficial Ownership
For business formation services, you may be required to provide beneficial ownership information as mandated by the Corporate Transparency Act. Such information—including identification documents—will be encrypted, stored securely, and deleted after 90 days unless retention is required for legal reasons.
8. Auto-Pay and Billing
(a) Auto-Pay Feature
- Some Services are billed via automatic payments. By enrolling, you authorize us to charge the credit or debit card on file.
- To avoid future charges, you must cancel auto-pay at least one (1) day before the next billing cycle through your online account.
(b) Declined Payments and Collections
- In the event of non-payment, you agree to pay all outstanding amounts immediately upon demand.
- You are responsible for any additional fees, including third-party collection costs, resulting from non-payment.
- Failure to notify us of billing discrepancies will waive your right to dispute such charges.
9. Specific Terms for Additional Services
- VOIP Phone Service: For terms governing our VOIP service, please refer to our separate VOIP Terms of Service Agreement.
- Trademark Service: For terms governing our Trademark service, please refer to our separate Trademark Terms of Service Agreement.
10. Governing Law and Dispute Resolution
- Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming.
- Dispute Resolution: Any disputes arising under these Terms will be resolved in the courts located in Cheyenne, Wyoming, unless otherwise agreed in writing.
- Severability: If any provision is deemed unenforceable, the remaining provisions will continue in full force and effect.
11. Amendments and Assignment
- Amendments: Filing Fusion LLC reserves the right to amend these Terms at any time. The updated Terms will be posted on our website, and your continued use of our Services constitutes acceptance of the changes.
- Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights to a successor in interest without notice.

13. SMS/Text Messaging
(a) By providing your mobile phone number and opting in, you consent to receive Short Message Service (SMS)/text messages from Filing Fusion LLC. These messages may include service-related updates (e.g., order updates, account alerts) as well as promotional messages (e.g., specials, marketing offers) sent via your wireless provider—even if your number is registered on any state or federal Do Not Call list. SMS messages may be sent using an automatic dialing system or other technology.
(b) Message frequency will be limited to no more than one message per day. Standard message and data rates imposed by your wireless provider may apply, and you are responsible for any associated charges.
(c) Your participation in receiving SMS messages is entirely voluntary, and you may opt out at any time by contacting us via our website or emailing our support team.
(d) To the extent permitted by law, Filing Fusion LLC will not be liable for any failed, delayed, or misdirected delivery of SMS messages, any errors in such messages, or any actions taken based on the messages received.
14. We Are Not Attorneys, or Fiduciaries
Filing Fusion LLC provides accounting, bookkeeping, business filing and registered agent services as a fulfillment service provider. We are not a law firm or financial consulting and do not provide legal or financial advice. There is no attorney-client, or fiduciary relationship created by your use of our Services. Communications with us are not protected by attorney-client privilege.
15. Disputes and Arbitration
a. Agreement to Arbitrate:
You understand and agree that any dispute or claim (“Dispute”) arising out of or relating to these Terms or our Services will be resolved exclusively through binding individual arbitration and not in a class, collective, or representative proceeding. This includes disputes related to advertising, privacy, data security, or any other matters under these Terms.
b. Required Procedures:
- Before initiating arbitration, you must send a written notice (“Claimant Notice”) via U.S. certified mail to:

The notice must include your contact information, a description of the Dispute, the specific relief sought, and a statement of whether you believe the Dispute is arbitrable. - Upon receipt of a complete Claimant Notice, you agree to negotiate in good faith with us for a period of 60 days (extendable by agreement) in an effort to resolve the Dispute. Only after this process may arbitration be initiated.
c. Arbitration Procedures:
- If the Dispute remains unresolved, and if it falls within the scope of these Terms, the Dispute shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules (including any expedited procedures).
- The arbitration will be conducted by a single arbitrator, and the arbitration award may be entered in any court of competent jurisdiction.
- You agree that the arbitrator shall have the authority to grant any relief available under law, including injunctive relief.
- Any arbitration costs will be shared in accordance with AAA’s fee schedules, and if a claim is found frivolous or improper, the initiating party may be required to bear all arbitration fees.
d. Governing Law for Disputes:
For purposes of resolving Disputes, these Terms shall be governed by the laws of the State of Wyoming. You consent to the exclusive jurisdiction of the state and federal courts located in Cheyenne, Wyoming for any issues not subject to arbitration.
16. Indemnification
You agree to indemnify, defend, and hold harmless Filing Fusion LLC, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
- Any breach of these Terms or our Privacy Policy by you,
- Your wrongful or improper use of our Services,
- Any violation of applicable laws or the rights of any third party,
- Claims related to the receipt, scanning, or forwarding of Legal Documents on your behalf,
- Your failure to maintain accurate information on your account.
17. Intellectual Property Rights & Ownership
(a) All Intellectual Property Rights in the Services and our website are owned exclusively by Filing Fusion LLC. These Terms do not grant you any rights to our Intellectual Property, including but not limited to patent, copyright, trademark, trade secret, or other proprietary rights.
(b) “Intellectual Property Rights” means all rights relating to any inventions, designs, technologies, software, content, and trademarks that exist now or may arise in the future.
(c) By submitting any ideas or comments (“Idea”) about our Services, you agree that your disclosure is voluntary and without expectation of compensation. Filing Fusion LLC is free to use, modify, or disclose such Ideas without any obligation to you.
